Terms of Use and Conditions of Service – CynQ

This Terms of Service Agreement (the “Agreement”) governs access to and use of the CynQ management platform (the “Service”), provided by Consultants Crac! Inc. operating under the name CynQ Technologies (“CynQ”, “we”, “our”, “us”), by any client organization (the “Client”, “you”).
By accessing, using, or subscribing to the Service, you agree to be bound by this Agreement.
1. Definitions
- Client: Any legal entity subscribing to the Service.
- Authorized User: Any individual authorized by the Client to access the Service.
- Administrator: An Authorized User designated to manage account configuration, users, and billing.
- Service / Platform: The CynQ SaaS application.
- Data: Any information submitted, stored, or processed within the Service.
- Subscription: A paid plan including a base platform fee and, where applicable, usage-based components.
- Order Form: A document specifying commercial terms such as pricing, commitments, and subscription details.
2. Scope of Agreement
This Agreement applies to all access and use of the Service, whether on a free or paid basis.
3. Account Responsibilities
The Client is responsible for maintaining accurate account information, managing Authorized Users, and ensuring compliance with this Agreement.
Each Authorized User must use a unique, personal login. Account sharing is strictly prohibited.
The Client is responsible for all activities conducted through its accounts.
4. Subscription, Fees, and Billing
4.1 General
Fees are determined based on the applicable subscription plan, committed usage levels, and/or actual usage, as specified at the time of purchase or in an applicable Order Form.
4.2 Committed Usage
Where applicable, the Client agrees to a minimum committed level of usage (e.g., number of users) as specified in the Order Form or at the time of subscription.
Billing will be based on the greater of:
- The committed usage level; or
- The actual usage during the billing period.
4.3 Additional Usage
Usage in excess of committed levels may be billed at standard rates, pre-agreed rates, or applicable volume-based pricing.
4.4 Pricing Changes
CynQ may update its standard pricing upon reasonable notice. Such changes will not apply during an active commitment term unless otherwise agreed.
4.5 Payment Terms
All fees are non-refundable unless otherwise specified.
5. Order Forms and Commercial Terms
If a Client enters into an Order Form with CynQ:
- The Order Form defines specific commercial terms, including pricing, commitments, and term.
- In case of conflict between this Agreement and an Order Form, the Order Form shall prevail with respect to commercial terms.
Any discounted pricing applies only to the quantities and scope explicitly defined in the applicable Order Form unless otherwise stated.
6. License Grant
CynQ grants the Client a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term.
7. Acceptable Use
The Client and its Authorized Users agree not to:
- Share accounts or credentials
- Use the Service for unlawful purposes
- Interfere with the security or performance of the Service
- Use the Service as a general-purpose storage system unrelated to business use
CynQ may suspend access in case of violation or non-payment after notice.
8. Data Ownership and Processing
The Client retains ownership of its Data.
CynQ may process Data solely for providing, maintaining, and improving the Service.
9. Term and Renewal
Subscriptions begin on the start date indicated at purchase or in the Order Form and continue for the agreed term.
Unless otherwise specified, subscriptions automatically renew unless either party provides notice of non-renewal at least 30 days prior to the end of the term.
10. Termination
The Client may terminate in accordance with the applicable subscription terms.
CynQ may suspend or terminate access for non-payment or breach of this Agreement.
Fees paid are non-refundable, and committed amounts remain due.
11. Conditional Pricing
Any discount or preferential pricing is granted in consideration of specific commercial commitments. Failure to fulfill such commitments may result in pricing adjustments upon renewal.
12. Limitation of Liability
The Service is provided “as is”.
To the maximum extent permitted by law, CynQ’s total liability shall not exceed the total fees paid in the 12 months preceding the claim.
13. Governing Law
This Agreement is governed by the laws of the Province of Quebec.
