Terms of Use and Conditions of Service \u2013 CynQ<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

This Terms of Use Agreement (the \u201cAgreement\u201d) governs access to and use of the CynQ management platform (the \u201cService\u201d), operated by Consultants Crac! Inc., doing business under the corporate name Technologies CynQ (\u201cCynQ,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d), by any client organization (the \u201cClient,\u201d \u201cyou,\u201d or \u201cyour\u201d).
<\/p>

By accessing, using, or subscribing to the Service, you agree to be bound by this Agreement.<\/p>

1. Definitions<\/h3>
  • Client: any legal entity subscribing to the Service.<\/li>
  • Authorized User: any person authorized by the Client to access the Service.<\/li>
  • Administrator: an Authorized User responsible for account, user, and billing configuration.<\/li>
  • Service \/ Platform: the CynQ SaaS application.<\/li>
  • Data: any information submitted to, stored in, or processed through the Service.<\/li>
  • Subscription: an offering that includes a base fee and, where applicable, usage-based pricing components.<\/li>
  • Order Form: a document setting out the commercial terms, including pricing, commitments, and term.<\/li><\/ul>

    2. Scope of the Agreement<\/h3>

    This Agreement applies to all access to and use of the Service, whether free or paid.<\/p>

    3. Client Responsibilities<\/h3>

    The Client is responsible for maintaining accurate information, managing access, and ensuring that its users comply with this Agreement.<\/p>

    Each user must have a unique, personal, and non-transferable user ID.<\/p>

    The Client is responsible for all activity carried out through its accounts.<\/p>

    4. Subscription, Fees and Billing<\/h3>

    4.1 General Provisions<\/strong><\/p>

    Fees are determined based on the applicable plan, commitment levels, and\/or actual usage, as specified at the time of subscription or in an applicable Order Form.<\/p>

    4.2 Usage Commitments<\/strong><\/p>

    Where applicable, the Client agrees to a minimum usage commitment (e.g., number of users), as specified in the Order Form.<\/p>

    Billing is based on the higher of:<\/p>

    1. the commitment level; or<\/li>
    2. actual usage during the billing period.<\/li><\/ol>

      4.3 Additional Usage<\/strong><\/p>

      Any usage exceeding the applicable commitments may be billed at standard rates, negotiated rates, or applicable volume-tier pricing.<\/p>

      4.4 Pricing Changes<\/strong><\/p>

      CynQ may modify its standard pricing upon reasonable notice. Such changes will not apply during an ongoing commitment period, unless otherwise agreed. <\/p>

      4.5 Payment Terms<\/strong><\/p>

      All fees are non-refundable unless otherwise specified.<\/p>

      5. Order Forms and Commercial Terms<\/h3>

      When an Order Form is entered into:<\/p>

      • It sets out the specific commercial terms, including pricing, commitments, and the term;<\/li>
      • In the event of a conflict with this Agreement, the Order Form shall prevail with respect to the commercial terms.<\/li><\/ul>

        Any preferential pricing or discounts apply only to the quantities and scope expressly defined in the Order Form, unless otherwise specified.<\/p>

        6. Licence<\/h3>

        CynQ grants the Client a limited, non-exclusive, non-transferable right to access and use the Service for the duration of the Subscription.<\/p>

        7. Acceptable Use<\/h3>

        The Client and its users agree not to:<\/p>

        • share access credentials;<\/li>
        • use the Service for unlawful purposes;<\/li>
        • compromise the security or performance of the Service;<\/li>
        • use the Platform as general-purpose storage unrelated to professional use.<\/li><\/ul>

          CynQ may suspend access in the event of a violation or non-payment, following notice.<\/p>

          8. Data<\/h3>

          The Client retains ownership of its Data.<\/p>

          CynQ may process the Data solely to provide, maintain, and improve the Service.<\/p>

          9. Term and Renewal<\/h3>

          Subscriptions begin on the specified date and continue for the agreed-upon term.<\/p>

          Annual Subscription<\/strong>: Unless otherwise provided, the Subscription automatically renews for a new 12-month term unless the Client provides notice of non-renewal at least 30 days before the expiration date.

          Monthly Subscription<\/strong>: The Client may terminate its Subscription at any time. Termination will take effect at the end of the current monthly billing period, and the Subscription will not renew for the following period. <\/p>

          10. Termination<\/h3><\/div>

          The Client may terminate the Subscription in accordance with the applicable terms.<\/p>

          CynQ may suspend or terminate the Service in the event of non-payment or a breach of this Agreement.<\/p>

          All fees paid are non-refundable, and any outstanding commitments remain due and payable.<\/p>

          11. Conditional Pricing<\/h3>

          Any discount or preferential pricing is granted based on specific commercial commitments. Failure to meet these commitments may result in a pricing adjustment upon renewal.ment. <\/p>

          12. Limitation of Liability<\/h3>

          The Service is provided \u201cas is.\u201d<\/p>

          To the fullest extent permitted by law, CynQ\u2019s total liability is limited to the amounts paid during the 12 months preceding the claim.<\/p>

          13. Governing Law<\/h3>

          This Agreement is governed by the laws of the Province of Quebec.<\/p>

          14. Language<\/h3>

          This Agreement is drafted in English, French, and Spanish.
